Welcome to FanLoop ! AsiaPlay Taiwan Digital Entertainment Ltd.(hereafter “the Company” or “we”) is pleased to provide services to you under the following terms of service (detailed below) to meet your personal entertainment needs. Please read these terms of service carefully.

Your use of the services we provide is subject to these terms of service. In these terms, "FanLoop Service," "our service," or "the service" refers to the service provided by FanLoop for searching and watching vertical and horizontal videos and advertisements through the internet on connected TVs, computers, and other devices ("Compatible Devices"). This includes all features, website content, user interfaces, and content and applications related to the service.

1.    Service Content and Acceptance of Terms

FanLoop is an online streaming media service offering digital horizontal and vertical videos ("Video Content"), along with other services under the terms of these terms of service. The service allows you to watch Video Content transmitted through viewing nodes. "Viewing nodes" refer to FanLoop's website, applications, and other channels through which the service can be accessed, including the websites and applications of third-party partners.

The use of FanLoop's services (including viewing Video Content) is governed by these terms of service, the Privacy Policy, community guidelines, and other end-user license agreements accompanying the FanLoop service. By visiting the FanLoop website or using any FanLoop service through viewing nodes, you agree to be bound by these terms of service, the privacy policy, and community guidelines.

2.    Modification and Validity of Terms

We may modify these terms of service at any time without prior notice. For example, we may modify these terms as necessary for operations or due to changes in laws. The modified terms will take effect immediately upon official announcement on the website.

3.    Use of FanLoop Services

a. If you are under 18 years old or below the legal adult age in your country or region and wish to register as a member, you must first obtain consent from your parents or legal guardian. If you are a minor, your registration implies that you have obtained the necessary consent, or your online use of the service is a legal act for minors according to your jurisdiction.

b. Any Video Content provided by FanLoop services is for personal use only and not for commercial purposes. During your membership period, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to use the service for streaming only. You acknowledge and agree that FanLoop may terminate this license at any time, with or without cause. Except for the limited license granted above, we do not transfer any rights, ownership, or interest to you.

c. The Video Content available to you is primarily provided by the FanLoop service in the country or region where your account is registered and can only be viewed in areas where the Company has provided services and authorized such Video Content. The available Video Content may vary by country or region and may change over time. The ability to download and watch Video Content, supported subtitle languages, and dubbing versions may also vary according to the policies of the content licensors. The service will use available technology to identify your location and determine the service content provided. You may simultaneously watch service content on a limited number of different devices, and the Company reserves the right to change this at any time.

d. The Company will continuously update the FanLoop service, including the content database. The Company will also continuously test various aspects of the service, including websites, user interfaces, applications, and service quality. The Company reserves the right, and you agree by using the service, that the Company may include or exclude you from the aforementioned tests without notice. The Company may change the content of the tests at any time and without disclosure.

e. You agree to use FanLoop services, including all content and features, in accordance with all applicable laws and regulations or other restrictions on the use of the service or Video Content. Unless you have obtained express consent from the Company or other licensors, you may not archive, download (except for personal use), copy, distribute, modify, display, publicly perform, publish, license, create derivative works from, rent, or sell any part or all of the service content (unless explicitly authorized in these terms).

f. You agree not to: 

(i) Circumvent, remove, alter, deactivate, degrade, or thwart any of the protections in the service or Video Content; 

(ii) Use any "robot," "spider," "scraper," or other automated means to access the Video Content of the service, or reverse engineer, decompile, or disassemble any software or products that can access the service; 

(iii) Insert any code or product into the service; 

(iv) Use any data mining, data gathering, or extraction methods to control the content of the service. Additionally, you agree not to upload, post, transmit, or otherwise interfere with or disrupt any computer software or hardware or telecommunications equipment associated with the FanLoop service, including but not limited to any software viruses, computer codes, files, or programs, and not to use automated programs to collect information from or interact with the service; 

(v) Use or attempt to use someone else's account, service, or system without authorization from FanLoop, or create a false identity on the service; 

(vi) Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person, entity, or group, including misleading others about the origin of any content you upload, post, transmit, distribute, or otherwise make available through the service; 

(vii) Use the service in any manner that could cause a conflict of interest or harm the service (e.g., trading reviews with other users, writing or soliciting fake reviews, etc.); 

(viii) Upload, transmit, distribute, store, or otherwise make available on the service any files containing viruses, trojan horses, worms, logic bombs, or other malicious or harmful technology; any unsolicited or unauthorized advertising, solicitation, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other prohibited forms of solicitation; any private information of any third party, including addresses, phone numbers, email addresses, personal identification numbers, and features (e.g., National Health Insurance numbers, passport numbers), or credit card numbers; any content that infringes or may infringe the intellectual property rights or privacy of others; any defamatory, obscene, offensive, pornographic, hateful, or inflammatory content; any content that directly or indirectly incites or assists in criminal acts, dangerous activities, or self-harm; any content deliberately provocative or antagonistic towards others, particularly mocking and bullying, or intended to harass, harm, intimidate, upset, embarrass, or alarm others; any content containing threats, including threats of physical violence; any racist or discriminatory content, including discrimination based on race, religion, age, gender, disability, or sexual orientation; 

(ix) Provide any answers, responses, comments, opinions, analysis, or advice for which you do not have the necessary licenses or qualifications; 

(x) Use the service in a manner that could reasonably offend or cause discomfort to the majority of people, or in a way that may limit or inhibit others from using the service or incur any responsibility or may harm FanLoop, the service, or its users based on our opinion.

The Company reserves the right to remove or restrict access to content at any time, with or without cause, and without prior notice. The reasons for such removal or restriction may include content that is reasonably offensive to the majority, violates these terms or our community guidelines, or is harmful to the service or our users. Our automated systems analyze your content to provide you with personalized features, such as customized search results, tailored ads, and spam and malware detection. This analysis may occur during content transmission, receipt, and storage.

g. The films and programs provided by the service may vary by your location. Viewing quality may also vary depending on your device, location, available bandwidth, and internet connection speed. The ability to view content in high definition (HD), full high definition (Full HD), or 4K (Ultra HD) depends on your internet speed and viewing device, but not all content is available in HD or Full HD, and not all devices are capable of receiving it. The Company recommends a minimum download speed of 10.0 Mbps per stream to watch HD content (720p or higher), 25.0 Mbps per stream to watch Full HD content (1080p or higher), and 50.0 Mbps per stream to watch 4K content (Ultra HD, 3840p or higher). You are responsible for all internet connection fees, and to determine the bandwidth or connection speed you are currently using, please contact your internet provider. The Company does not guarantee the quality of content viewing, the time taken to start watching a movie, or the overall viewing experience due to factors such as connection speed and device performance.

h. The software or applications used in the service are developed by the Company or commissioned by others for the service, enabling the streaming of videos through the FanLoop service to Compatible Devices. You may need to install specific software or applications to use devices with the FanLoop service. You agree to automatically receive updates from the FanLoop service and related third-party software and install them as instructed, allowing the Company to provide you with the best service quality. For detailed recommendations on devices or software, please refer to the "FAQ." If you sell, lose, or have your device stolen that is used with the FanLoop service, please immediately log out or disable the device from "My Account." Failure to log out or disable your device may result in unauthorized users accessing the FanLoop service through your account and possibly accessing some of your account information and incurring additional fees. Please follow the instructions on the "My Account" page to log out of the device and change your personal login account password.

i. The Company may terminate or restrict your use of the FanLoop service without compensation or notice if you violate these terms of service, violate any laws or regulations, or engage in any other illegal or inappropriate activities. You agree to cooperate with the Company's reasonable request to confirm whether you are complying with these terms of service, including providing documentation of your identity and contact information.

j. You agree to view content on the service in accordance with the film classification laws of your country or region and to adhere to the age restrictions indicated for the content. You understand that some audiovisual content may be offensive, indecent, objectionable, or cause other unpleasant feelings. You agree to assume the risk of choosing such content and acknowledge that the Company is not liable for any responsibility or compensation in this regard. The content ratings and descriptions are for your reference only, and you recognize and agree that the Company does not guarantee their accuracy. If you are located in Taiwan, children or teenagers under 18 years old are not allowed to watch restricted movies or programs. Those wishing to view content rated as Parental Guidance, Protected, or other non-restricted content must obtain the consent of and be accompanied by a parent or guardian.

k. You acknowledge and agree that the audiovisual content provided through the FanLoop service is owned by the Company or its licensors and is protected by domestic and international copyright laws, trademark laws, and related intellectual property laws. Between you and FanLoop, all content, software, images, text, graphics, icons, logos, patents, trademarks, service marks, copyrights, photographs, audio files, videos, music, and "look and feel," as well as all related intellectual property rights (collectively referred to as "FanLoop Content"), are owned by or licensed to FanLoop. You retain ownership of any user content (as defined below) that you upload or transmit through the service. Any use of FanLoop Content or materials on the service for purposes not expressly permitted by these terms is strictly prohibited. Without the Company's prior written consent, you may not download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit these FanLoop Content for any purpose. The Company reserves all rights to these contents that are not expressly granted. Additionally, you are not granted any rights to the sound recordings and musical works contained therein provided through or via the service.

l. You acknowledge and agree that we may generate revenue, increase goodwill, or otherwise increase our value from your use of the service, including but not limited to through advertisements, sponsorships, promotions, data use, and gifts. Unless expressly permitted in these terms or any other agreement you enter into with us, you are not entitled to share in any such revenue, goodwill, or value. You also acknowledge and agree that unless expressly permitted in these terms or any other agreement you enter into with us, you (i) cannot derive any income or other compensation from any user content or any music, sound recordings, or audiovisual clips provided on or through the service, including from any user content you create, and (ii) cannot exercise any rights to profit or receive compensation from user content on the service or any third-party service (e.g., you cannot make any claims to monetize user content uploaded to social media platforms such as YouTube).

m. User-Generated Content

Users of the service may upload, post, or transmit content (e.g., via live streaming) or otherwise provide content through the service, including but not limited to any text, photos, user videos, sound recordings, and musical works contained therein, including videos containing sound recordings and ambient noise stored locally from your personal music library ("User Content"). The specific method of user-uploaded, posted, or transmitted content shall be determined and implemented unilaterally by the Company. Users of the service may also incorporate any part of other users' User Content to create additional User Content, including collaborations with other users, by combining and interspersing User Content produced by multiple users. Users of the service can also add music, images, stickers, virtual items, and other elements provided by FanLoop ("FanLoop Elements") to User Content and transmit this User Content through the service. The views expressed by other users on the service (including those expressed via virtual gifts) do not represent our views or values.

When you access or use features that allow you to upload or transmit User Content through the service (including through various third-party social media platforms such as Instagram, Facebook, YouTube, Twitter) or communicate with other users of the service, you must adhere to the same standards outlined in these terms regarding access and use. You may also choose to upload or transmit your User Content, including User Content containing FanLoop Elements, on third-party websites or platforms. If you decide to do so, you must comply with their content guidelines and the same standards outlined in these terms regarding access and use.

You warrant that any such works comply with these standards, and you agree to assume responsibility and liability for any breaches of this warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of the warranty.

Any User Content will be considered non-confidential and non-proprietary. You must not post any User Content on or through the service that you consider confidential or proprietary, nor should you transmit any such User Content to us. By submitting User Content through the service, you represent and warrant that you own the User Content or have obtained all necessary permissions, consents, or licenses from the content owner to submit it to the service, transmit it from the service to other third-party platforms, and/or incorporate any third-party content.

If you only have rights to the sound recordings but not the musical works contained therein, you must not post the sound recordings on the service unless you have obtained all permissions, consents, or licenses from the content owners.

You or the owner of your User Content retain ownership of the copyright in any User Content submitted to us. However, by submitting User Content through the service, you grant us an unconditional, irrevocable, non-exclusive, royalty-free, fully transferable, perpetual worldwide license to use, modify, adapt, reproduce, create derivative works from, publish, and/or transmit and/or distribute, and authorize other users of the service and third parties to view, access, use, download, modify, adapt, reproduce, create derivative works from, publish, and/or transmit your User Content in any format and on any platform, now known or later developed.

You further grant us a royalty-free right to use your username, image, voice, and likeness to identify you as the source of any User Content you submit.

For the avoidance of doubt, the rights granted in the preceding paragraphs of this section include, without limitation, the right to reproduce sound recordings (including the mechanical reproduction of the musical works embodied therein) and to publicly perform and communicate sound recordings (including the musical works embodied therein) to the public. For the avoidance of doubt, you agree to grant us the right to use your User Content without any obligation to pay royalties to any third party, including but not limited to sound recording copyright owners (e.g., record labels), musical work copyright owners (e.g., music publishers), performing rights organizations ("PROs"), recording rights organizations, any unions or guilds, and engineers, producers, or other royalty participants involved in creating User Content.

Special Provisions for Musical Works and Recording Artists

If you are a composer or creator of a musical work and are a member of a performing rights organization (PRO), you must notify your PRO that you are granting us royalty-free rights to your user content under these terms. You are solely responsible for ensuring your compliance with the reporting obligations of the relevant PRO. If you have assigned your rights to a music publisher, you must obtain the consent of that music publisher to grant us royalty-free rights to your user content under these terms or have the music publisher agree to these terms with us. Simply because you created a musical work (e.g., wrote a song) does not mean you have the right to grant us the rights under these terms. If you are a recording artist under contract with a record label, you are solely responsible for ensuring that your use of the service complies with all contractual obligations to your record label, including any new recordings you may create through the service that your record label might claim.

Direct-to-Audience Rights

All the rights you grant to your user content under these terms are on a direct-to-audience basis. This means that the owners or operators of third-party services will not be liable to you or any other third party for any user content posted or used on those third-party services through the service.

Waiver of Rights to User Content

By posting user content on or through the service, you waive any rights to privacy, publicity, or any other similar rights related to your user content or any part thereof. To the extent that any moral rights are not transferable, you hereby waive and agree not to assert any moral rights or support, maintain, or permit any action based on moral rights you may have in or related to any user content posted to or through the service.

If any third party claims that user content you have posted or uploaded to our service infringes their intellectual property rights or privacy rights, we reserve the right to disclose your identity to the third party.

We, or authorized third parties, reserve the right to edit, crop, modify, or refuse to publish your content at our sole discretion. If we determine that the content you posted does not comply with the standards set forth in these terms concerning access and use, we reserve the right to remove, ban, block, or delete any content you post on our service. Additionally, we have the right (but not the obligation) to remove, ban, block, or delete any user content at our sole discretion, whether in response to complaints from other users or third parties, and whether or not we notify you, without any liability to you. Therefore, we recommend that you save a copy of any user content you post to the service on your personal device to ensure you have a permanent copy. We do not guarantee the accuracy, completeness, appropriateness, or quality of any user content and are not responsible for any user content under any circumstances.

You can control whether your user content is public to all other users of the service or restricted to those you choose to share it with by using the privacy settings available on the service's platform.

We are not responsible for any content submitted by users and published by us or authorized third parties.

If you wish to make a complaint about any information or materials uploaded by other users, please write to support@fanloop.com. We will take reasonable steps to promptly remove any infringing material we find on the service. In appropriate circumstances, we will disable or terminate the accounts of users who repeatedly infringe the copyrights or intellectual property rights of others, at our discretion.

If you choose to contribute ideas by sending us feedback about products, services, features, modifications, enhancements, content, improvements, technologies, content offerings (such as sound, visual, games, or other types of content), promotions, strategies, or product/feature names, or any related documentation, artwork, computer code, diagrams, or other materials (collectively, "Feedback"), the following terms will apply to avoid any future misunderstandings. By sending us Feedback, you agree:

i. The Company is under no obligation to review, consider, or implement your Feedback, nor is it obligated to return all or part of the Feedback for any reason;

ii. Feedback is provided on a non-confidential basis, and the Company has no obligation to keep any Feedback confidential or to avoid using or disclosing it in any way; and

iii. You irrevocably grant us a perpetual and unrestricted license to reproduce, publish, create derivative works from, modify, publicly perform (including on a direct-to-audience basis), publicly communicate, offer, publicly display, and otherwise use and exploit the Feedback and derivative works thereof for any purpose, without restriction, free of charge, and regardless of the type, including by making, using, selling, offering for sale, importing, and promoting commercial products and services that incorporate or embody Feedback, whether in whole or in part and whether as originally provided or modified.

4.    Member Registration, Account, and Password

a. Member Registration: Before using the service, you must register as a member and agree to the FanLoop Privacy Policy and Terms of Service. Once you become a member, the following additional terms and conditions will also apply.

b. Account: Upon completion of registration, the user will have a FanLoop account. The account holder should access and control the account through the account password and must not disclose this password to others. Members are obligated to manage their accounts with the duty of a prudent administrator. If you allow other family members to use your account, it is considered that you guarantee that these users will comply with these Terms of Service, and you are fully responsible for their use of the service.

c. Password: To facilitate your login to the FanLoop service, you understand and agree that the Company will use currently available technology to authenticate your account access rights and provide a process that allows you to connect directly to the FanLoop service without entering a password or re-verifying your identity. Please keep your password confidential, and you are not required to disclose your password to any company representative. As the owner of a FanLoop account, you are responsible for all related activities, including those by third parties using your account without your consent. If you notice any unauthorized use, please contact our customer service center immediately via email. Additionally, if there are any changes to your registration information, please notify us promptly so that we can contact you if necessary.

d. Sensitive Account Information: You must exercise extreme caution with any communications requesting your credit card or member account information, as these may lead to theft of your credit card number or FanLoop membership identity. When accessing the sensitive account information mentioned above, always go directly to the FanLoop website rather than through links sent via email, text message, or other social media (even if these links appear identical to the official website). If we detect suspected fraudulent activity, we reserve the right to immediately terminate or suspend your account without prior notice to protect you, the Company, or our partners from identity theft or other fraudulent activities. We bear no responsibility for actions and damages related to links outside the FanLoop service platform. FanLoop will not provide any compensation or damages for accounts suspended by FanLoop representatives or automated mechanisms.

e. If you decide to stop using the service and wish to delete your account, we can assist you. Please write to support@fanloop.com, and we will provide further assistance and guide you through the entire process. Once you choose to delete your account, you will not be able to reactivate it or retrieve any content or information stored in the account.

5.    Advertisements and Third-Party Links
a. You acknowledge and agree that, in providing the FanLoop service, we have the right to display commercial advertisements (including ad links) or other types of commercial information in various ways, subject to applicable laws and regulations.

b. You acknowledge and agree that the Company has the right to determine the form, duration, location, and content of advertisements, subject to applicable laws and regulations.

c. You acknowledge and agree that the Company may send you promotional or other related commercial information via email, text message, or other means.

d. You acknowledge and agree that these advertisers and advertisement content are not controlled by the Company. You should exercise caution in judging the authenticity and reliability of advertisement information. Any interactions or disputes between you and the advertisers are your responsibility to resolve. Except as provided by applicable laws and regulations, we do not assume any additional responsibility beyond that of the advertisement publisher.

6.    Collection and Use of Personal Information
For the purpose of creating, manufacturing, and marketing products, as well as developing, adjusting, or improving the services, our company may freely use (including but not limited to reproduction, publication, display, or transmission) any feedback you send to us, including opinions, information, ideas, concepts, reviews, technical data, or other communications (including survey responses or postings on the FanLoop website and user interface related to the services), without providing you with additional compensation, acknowledgment, or remuneration. Furthermore, to the extent permitted by applicable law, you agree not to assert any moral rights you may have in relation to the aforementioned feedback and the content contained therein. Please note that our company does not accept any unsolicited audiovisual materials or ideas, nor is it responsible for any similarities between such materials or ideas transmitted to us and any content or programs in any media. If you voluntarily provide us with any unsolicited materials or ideas, even if the materials or ideas used by our company or its affiliates are substantially similar to what you provided, you acknowledge and agree that no additional compensation will be provided to you, and you waive any rights to make claims based on such use.

For our policies and practices regarding the collection and use of personal information, please refer to the FanLoop Privacy Policy. The Privacy Policy is an integral part of these Terms of Service. Therefore, by agreeing to these Terms of Service, you agree to be bound by the FanLoop Privacy Policy when you access the FanLoop website or use the services through other access points.

7.    Communication Preferences
By using the services, you agree to receive electronic communications from us regarding your account, including emails sent to the email address you provided during membership registration or notices posted on the FanLoop service related to your account (such as payment authorizations, password changes, email or other transactional information confirmations, although we reserve the right not to retain viewing history and order information for more than 12 months from the date of account access). You agree that any notices, agreements, disclosures, or other communications sent to you electronically by us satisfy any legal notification requirements, including written notice. You should retain a written or electronic copy of such electronic notices for your records. You also agree to receive newsletters, promotional notifications, and customer feedback surveys about new service features and content from us.

8.    Intellectual Property Rights
a. Copyright: The FanLoop services and all content provided through the services are protected by copyright, trade secret, or other intellectual property laws and treaties.

b. Trademarks: FanLoop and other FanLoop marks, graphics, logos, designs, and sounds are trademarks of our company and may not be copied, downloaded, or otherwise used.

c. You agree that your access and use of the services will not infringe any intellectual property rights. If a user infringes or is alleged to infringe any copyright or other intellectual property rights, we reserve the right, with or without prior notice, to block access to and/or terminate any user account as deemed necessary.

9.    Disclaimer, Limited Liability, and Indemnity
a. The services and all related content, software, or any other features are provided on an "as is" and "as available" basis without warranty of any kind. Our company does not guarantee or warrant that your use of the services will be uninterrupted or error-free. Our company expressly disclaims any liability related to the use of software, Compatible Devices, and FanLoop software (including but not limited to the compatibility of such software with the services).

b. To the extent permitted by applicable law, our company and its affiliates, subsidiaries, shareholders, directors, officers, employees, or licensors shall not be liable for any personal losses or any special, incidental, indirect, or consequential damages you may incur.

c. These Terms of Service do not affect any statutory rights that you may not waive. If any part of these Terms of Service is deemed invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall remain unaffected.

d. Our company does not make any express or implied representations, warranties, or guarantees regarding the accuracy, completeness, or timeliness of any FanLoop content (including user content). If our services contain links to other websites and resources provided by third parties, these links are provided for your reference only. We have no control over the contents of those sites or resources. Such links should not be construed as our endorsement of those linked websites or the information you may obtain from them. You acknowledge that we have no obligation to pre-screen, monitor, review, or edit any content posted on the services by you or other users (including user content).

e. You agree to indemnify, defend, and hold harmless FanLoop, its parent company, subsidiaries, affiliates, and their respective managers, directors, employees, agents, and consultants from and against any claims, liabilities, costs, and expenses (including but not limited to attorney fees) arising from your or any user's breach of these Terms of Service or your breach of these terms, representations, and warranties.

f. Our company does not guarantee that the services are secure or free from errors or viruses. You are responsible for configuring your information technology, computer programs, and platforms to access the services and should use your own antivirus software.

10.    Limitation of Liability

Nothing in these terms excludes or limits our liability for damages that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our or our employees', agents', or distributors' negligence, or liability arising from fraud or fraudulent misrepresentation.

Subject to the preceding, we shall not be liable for: (I) any loss of profits (whether direct or indirect); (II) any loss of goodwill; (III) any loss of opportunity; (IV) any loss of data; or (V) any indirect or incidental losses you may suffer. Any other losses are limited to the amount you have paid to FanLoop in the past 12 months.

We are not responsible for any loss or damage you may suffer, including but not limited to:

• Your reliance on the completeness, accuracy, or existence of any advertisement, or any relationship or transaction between you and any advertiser or sponsor whose advertisement appears on the service;

• Any changes we make to the service, or for any permanent or temporary cessation in the provision of the service (or any features within the service);

• The deletion, corruption, or failure to store any content and other communication data maintained or transmitted by or through your use of the service;

• Your failure to provide accurate account information to us;

• Your failure to keep your password or account details secure and confidential.

Please note that we provide our platform for domestic and private use only. You agree not to use our platform for any commercial or business purposes, and we have no liability to you for any loss of profit, business loss, business interruption, or loss of business opportunity.

To the fullest extent permitted by law, any dispute you have with third parties arising out of your use of the service, including but not limited to any telecommunications company, copyright owners, or other users, is directly between you and such third parties. You irrevocably release us and our affiliates from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

11.    Governing Law

For all FanLoop account holders, these Terms of Service and their interpretation shall be governed by the laws of the Republic of China (Taiwan), excluding the applicable conflict of laws rules and principles.

12.    Dispute Resolution

Any dispute, controversy, difference, or claim arising out of or in connection with these Terms of Service, including the breach, termination, or invalidity thereof, shall first be resolved through good faith negotiations. If such negotiations fail, the dispute shall be submitted to the Taiwan Shilin District Court as the court of first instance with agreed jurisdiction.

13.    Miscellaneous Provisions

a. Service Suspension or Termination: You agree that the Company has the right, at any time, to modify, suspend, or discontinue all or part of the FanLoop service (including its content and Compatible Devices) for all users, with or without notice, depending on the nature of the change. You agree that our company shall not be liable to you for any modification, suspension, or discontinuation of the service. If our company terminates your account or suspends or discontinues your use of the service due to your misuse or violation of these Terms of Service, you understand and agree that you will not receive any compensation. In such cases, our company may automatically terminate your access to the service without notice.

b. Service Content Modification: Our company will continue to update the FanLoop service. We will also continue to test various aspects of the service, including the website, user interface, applications, service quality, plans, promotional offers, and availability of movies and programs. By using the service, you agree that our company may include or exclude you from such testing without notice and may change the testing content at any time without disclosure.

c. Internet Connection Fees: You are responsible for all internet connection fees, and you should consult your internet service provider about the fees associated with your data usage.

d. Third-Party Applications: If you use third-party applications (including websites, software, or other programs that interface with the service), you will be subject to the Terms of Service or license conditions of the third party.

14. Customer Support

For more information about the service and its features, or if you need assistance with your account, please visit the Customer Support Center. In certain cases, the Customer Support Center may provide optimal support by connecting remotely to your computer through a remote access support tool. If you do not wish to be connected through this tool, you should refuse this form of support, and we will provide you with other forms of assistance. In any case, if the information provided by the Customer Support Center or any part of the website conflicts with these Terms of Service, these Terms of Service shall prevail.

15. Validity of Terms

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
